These Terms of Service govern your use of the SEO Ayush Pandey website and the SEO, consulting, content, digital marketing, and related services provided by Ayush Pandey.

By accessing this website, submitting an enquiry, requesting a consultation, engaging my services, or entering into a service agreement with me, you acknowledge that you have read and understood these Terms of Service and agree to be bound by the terms applicable to your engagement.

If you do not agree with these Terms, please do not use the website or engage my services.

1. About These Terms

“SEO Ayush Pandey,” “I,” “me,” and “my” refer to the individual or legal business entity identified in the applicable proposal, invoice, service agreement, or other commercial document issued for your engagement.

“You,” “your,” or “client” refers to the individual, business, organisation, or other entity engaging my services.

These Terms apply to website visitors, prospective clients, and clients unless a separate written agreement specifically states otherwise.

Where a signed proposal, statement of work, quotation, or service agreement contains terms that conflict with these Terms, the terms of the applicable written agreement will take precedence for that engagement.

2. Services

I provide SEO and related digital services based on the requirements agreed with the client.

Services may include:

  • SEO consulting and strategy

  • Technical SEO

  • On page SEO

  • Content SEO and content strategy

  • Off page SEO and digital PR

  • Local SEO

  • International SEO

  • Ecommerce SEO

  • WordPress SEO

  • Shopify SEO

  • AEO and GEO solutions

  • AIO and SXO solutions

  • SEO audits

  • SEO reporting and performance analysis

  • SEO training and consulting

  • Other digital marketing or strategic services specifically agreed in writing

The exact scope, deliverables, timelines, fees, reporting arrangements, and responsibilities for an engagement will be defined in the applicable proposal, quotation, statement of work, or service agreement.

I may recommend changes to the scope when technical, competitive, search engine, market, or business conditions require a different approach.

3. No Guaranteed Rankings or Business Results

SEO involves external platforms, search engines, competitors, market conditions, website changes, user behaviour, and other factors outside my direct control.

I do not guarantee:

  • A specific search engine ranking

  • A specific position in Google or another search engine

  • A specific amount of organic traffic

  • A specific number of leads or enquiries

  • A specific conversion rate

  • A specific revenue amount

  • A specific return on investment

  • Inclusion in an AI generated answer, search feature, or generative search result

Any previous performance figures, case studies, examples, testimonials, rankings, traffic figures, or other results presented on this website are provided as examples of past work or experience where applicable. They should not be interpreted as a promise that the same results will be achieved for every client.

Actual results depend on the client’s website, industry, competition, resources, implementation, market conditions, search engine changes, and other factors.

4. Search Engine and Third Party Platforms

SEO work may involve search engines, analytics platforms, advertising platforms, social networks, content management systems, ecommerce platforms, business directories, AI platforms, and other third party services.

These platforms operate independently and may change their:

  • Algorithms

  • Policies

  • Features

  • Ranking systems

  • Interfaces

  • Technical requirements

  • Access conditions

  • Data availability

I do not control changes made by third party platforms and cannot guarantee that a third party will maintain a particular feature, ranking, visibility level, integration, or access.

5. Client Responsibilities

The client agrees to provide accurate, complete, and reasonably current information required to perform the agreed services.

Depending on the project, the client may need to provide:

  • Website and hosting access

  • CMS access

  • Analytics access

  • Search Console access

  • Business information

  • Existing marketing materials

  • Brand guidelines

  • Product or service information

  • Competitor information

  • Technical documentation

  • Content approvals

  • Required legal or regulatory information

The client remains responsible for ensuring that information, materials, claims, products, services, and instructions supplied to me are accurate and lawful.

Delays caused by missing information, unavailable access, delayed approvals, technical restrictions, or changes made by the client or another service provider may affect project timelines.

6. Website and Third Party Access

Where access to a website, CMS, analytics account, hosting account, advertising platform, business profile, or other third party system is required, the client remains responsible for maintaining appropriate ownership and administrative control of those accounts.

I will use access provided by the client only for purposes related to the agreed services.

Clients should not provide passwords or authentication credentials through unsecured communication channels where a safer access method is available.

7. Content and Client Approval

SEO recommendations, content, metadata, technical recommendations, structured data, landing page copy, and other deliverables may require client review or approval.

The client is responsible for reviewing information that relates specifically to its products, services, pricing, regulatory obligations, technical specifications, claims, warranties, certifications, and other business representations before publication.

Where the client approves content or recommendations for publication, the client remains responsible for the accuracy of business specific information supplied or approved by the client.

8. Legal and Regulatory Compliance

I provide SEO, content, and digital marketing services and do not provide legal, tax, financial, medical, regulatory, or other professional legal advice unless expressly agreed through an appropriately qualified professional.

The client remains responsible for ensuring that its business, products, services, website, advertising, content, privacy practices, consumer communications, and commercial activities comply with laws and regulations applicable to its business and target markets.

Where a project involves regulated industries or markets, the client should obtain appropriate professional legal or regulatory advice where required.

SEO recommendations are intended to support search visibility and user experience and should not be treated as confirmation that a client’s website or business complies with every applicable law.

9. Intellectual Property

Unless otherwise agreed in writing, intellectual property owned by either party before the engagement remains the property of its original owner.

Client owned materials, trademarks, logos, proprietary information, databases, content, and other assets supplied by the client remain the client’s property.

Subject to full payment of applicable fees, the client receives the rights to use final deliverables specifically created for the client under the agreed engagement, subject to any third party licences or restrictions.

Tools, templates, processes, methodologies, frameworks, know how, research systems, workflows, reusable materials, and general expertise used to provide the services remain mine unless otherwise agreed in writing.

Third party materials remain subject to the applicable third party terms and licences.

10. Confidentiality

I will treat confidential business information provided by the client as confidential and will use it only as reasonably necessary to provide the agreed services, unless disclosure is required by law or authorised by the client.

Confidential information does not include information that:

  • Is publicly available without breach of these Terms

  • Was already lawfully known to me

  • Is independently developed without using confidential information

  • Is lawfully received from another source without a confidentiality obligation

  • Must be disclosed to comply with applicable law or a lawful authority

The client is also responsible for protecting confidential information, credentials, documents, and access details relating to its business.

11. Fees and Payments

Fees, payment schedules, billing arrangements, taxes, and payment deadlines will be stated in the applicable proposal, quotation, invoice, or service agreement.

Unless otherwise agreed in writing:

  • Work may depend on timely payment of applicable fees.

  • Third party costs are not included unless specifically stated.

  • Additional work outside the agreed scope may be charged separately.

  • Applicable taxes, duties, transaction charges, or payment processing fees may apply where required.

Failure to make payment by the agreed deadline may result in suspension of services until the outstanding amount is resolved.

12. Changes to Scope

Requests that materially change the agreed scope may require a revised quotation, timeline, or service agreement.

Examples may include substantial increases in the number of pages, locations, websites, languages, services, markets, content requirements, technical implementations, or reporting requirements.

No additional work will be treated as included solely because it is related to the original project.

13. Third Party Tools and Services

My work may involve third party tools and platforms used for research, analytics, reporting, SEO analysis, content management, communication, hosting, automation, or other project requirements.

Third party services may have their own terms, pricing, availability, data practices, limitations, and privacy policies.

I am not responsible for failures, outages, policy changes, pricing changes, data loss, account restrictions, or other events caused directly by a third party service.

14. Website and Service Availability

I aim to provide services with reasonable care and within the agreed scope.

However, I do not guarantee uninterrupted availability of this website, communication channels, reporting systems, third party platforms, or other digital services.

Temporary interruptions may occur because of maintenance, technical problems, security incidents, infrastructure failures, third party outages, or circumstances outside my reasonable control.

15. Prohibited Use

You must not use my website or services to:

  • Violate applicable laws or regulations

  • Infringe another person’s intellectual property rights

  • Misuse another person’s personal information

  • Distribute malicious software

  • Attempt unauthorised access to systems or accounts

  • Engage in deceptive or fraudulent activities

  • Request activities intended to manipulate, mislead, or unlawfully interfere with third party platforms

  • Use my services for purposes that are unlawful or prohibited by applicable platform policies

I may refuse or discontinue work that I reasonably believe would require unlawful, deceptive, fraudulent, abusive, or prohibited activity.

16. Suspension or Termination

Either party may terminate an engagement according to the termination provisions contained in the applicable service agreement or proposal.

Where no separate termination terms have been agreed, either party may request termination by providing reasonable written notice.

I may suspend or terminate services where:

  • Required payments remain overdue

  • The client materially breaches the applicable agreement

  • Continued work would require unlawful or prohibited activity

  • Required access or information is repeatedly unavailable

  • The client engages in abusive, threatening, fraudulent, or unlawful conduct

  • Continuing the engagement creates a material security, legal, or operational risk

Termination does not remove payment obligations for services already completed or expenses already incurred.

17. Limitation of Liability

To the extent permitted by applicable law, I will not be responsible for indirect, incidental, special, consequential, or unforeseeable losses arising from the use of my website or services.

This may include loss of revenue, loss of anticipated profits, loss of business opportunities, loss of rankings, loss of traffic, loss of data, or loss arising from changes to third party platforms.

Nothing in these Terms is intended to exclude or limit liability that cannot lawfully be excluded or limited under applicable law.

For paid engagements, any additional limitation of liability, where legally permitted, may be specified in the applicable service agreement.

18. Indemnification

To the extent permitted by applicable law, the client agrees to be responsible for claims arising from materials, information, instructions, products, services, or business activities supplied or authorised by the client where those claims result from the client’s breach of applicable law, third party rights, or the applicable service agreement.

This provision does not apply to the extent that a claim results from my own unlawful conduct, fraud, wilful misconduct, or liability that cannot legally be transferred to the client.

19. No Professional Advice

Information published on this website is provided for general informational and educational purposes.

SEO, digital marketing, content, analytics, and related information should not be treated as legal, financial, tax, medical, investment, or other regulated professional advice.

Where your business operates in a regulated industry or jurisdiction, obtain appropriate professional advice before relying on information that requires specialised legal or regulatory interpretation.

20. Privacy and Personal Information

The collection and processing of personal information submitted through this website or during an engagement are governed by the applicable Privacy Policy.

The Privacy Policy should be read together with these Terms of Service.

Nothing in these Terms removes or limits privacy rights that apply to an individual under applicable law.

21. International Clients

My services may be provided to clients located in different countries and regions.

Where services are provided internationally, the parties may be subject to different mandatory laws concerning consumer protection, privacy, intellectual property, taxation, electronic communications, advertising, and contractual rights.

These Terms are intended to establish general contractual terms while preserving rights and obligations that cannot lawfully be excluded under the applicable law of the relevant jurisdiction.

Nothing in these Terms is intended to remove mandatory consumer or statutory rights that apply to a client under applicable law.

22. Governing Law and Disputes

Unless a separate written agreement provides otherwise, these Terms will be governed by the laws applicable to the contracting entity identified in the relevant proposal or service agreement.

The parties should first attempt to resolve disputes through good faith written communication.

Where a dispute cannot be resolved through discussion, the parties may pursue the dispute resolution process specified in the applicable service agreement or otherwise available under applicable law.

For clients located in jurisdictions with mandatory consumer dispute or court rights, those mandatory rights will continue to apply where required by law.

23. Changes to These Terms

I may update these Terms when my services, website, business practices, or applicable requirements change.

The updated version will be published on this page with a revised “Last Updated” date.

Changes will apply prospectively unless applicable law requires otherwise.

Where a change materially affects an existing service agreement, the terms of that agreement will continue to govern the engagement unless the parties agree otherwise or applicable law requires a different approach.

24. Severability

If any provision of these Terms is found to be invalid, unlawful, or unenforceable under applicable law, the remaining provisions will continue to apply to the extent permitted by law.

The affected provision will be interpreted or modified only to the extent necessary to make it enforceable where legally permitted.

25. Entire Agreement

These Terms, together with any applicable proposal, quotation, statement of work, invoice, service agreement, Privacy Policy, and other documents expressly incorporated into the engagement, form the agreement governing the relevant services.

If a specific written service agreement conflicts with these general Terms, the specific service agreement will take precedence for that engagement.
